Terms of Service

Effective 2026-05-02.

1. Acceptance

By installing or using ShopWhy ("Service"), you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business.

2. The Service

ShopWhy provides analytics, reporting and AI-assisted insights based on data you authorize us to read from your Shopify store via the Shopify Partner API. The Service is operated by Valiotti Data.

3. Subscription, billing and trials

  • The Service is offered on a recurring subscription basis. Plans, features and prices are listed on the pricing page.
  • A free trial may be offered. At the end of the trial, your selected plan automatically converts to a paid subscription unless you cancel.
  • Billing is handled through the Shopify Billing API (or, where applicable, Stripe). Charges are non-refundable except where required by law.
  • You can cancel at any time from inside the app or by uninstalling. Cancellation takes effect at the end of the current billing period.

4. Acceptable use

  • Don't use ShopWhy to violate applicable law or to harm Shopify, other merchants or end-customers.
  • Don't attempt to reverse-engineer, scrape, or load-test the Service without prior written consent.
  • Don't share your account credentials.
  • Don't submit content (including AI prompts) that is illegal, defamatory, or contains malware.

5. AI-assisted features

The Service uses third-party large-language-model providers to generate analytical explanations. AI output may be inaccurate, incomplete, or misleading. You are responsible for verifying AI-generated outputs before acting on them. We do not guarantee accuracy.

6. Data & privacy

Use of your data is governed by our Privacy Policy and (for B2B customers) our Data Processing Addendum. We are a data processor; you remain the controller of your store data.

7. Intellectual property

You retain ownership of your store data. We retain ownership of the Service and all software, designs and trademarks. We grant you a non-transferable, non-exclusive license to use the Service for as long as your subscription is active.

8. Service availability

We aim for 99.5% monthly uptime, excluding scheduled maintenance and outages caused by third parties (Shopify, our cloud providers). The Service is provided "as is" without warranty of any kind.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you paid us in the twelve (12) months preceding the event giving rise to liability. We are not liable for indirect, incidental, special, consequential or punitive damages.

10. Termination

You may terminate at any time by uninstalling the app. We may terminate for material breach with 14 days notice, or immediately for security reasons or non-payment. Upon termination we erase your data per the retention schedule in the Privacy Policy.

11. Governing law & disputes

These Terms are governed by the laws of England & Wales. Disputes will be resolved in the competent courts of London, UK, except that you may bring claims in your local jurisdiction where mandatorily required by consumer law.

12. Changes

We may update these Terms with at least 14 days' notice by email. Continued use after the effective date constitutes acceptance.
